Gilded Desi Collective - Terms & Conditions

These Terms & Conditions apply to applications to and participation in the Gilded Desi Collective, an initiative operated by Gilded Desi, an Ireland-based sole-trader jewellery business ("Gilded Desi", "we", "us" or "our").

By submitting an application to the Collective, you confirm that you have had a reasonable opportunity to read these Terms & Conditions. If you are selected to participate, your participation will be subject to these Terms & Conditions together with any specific arrangements communicated to you by Gilded Desi.

1. About the Gilded Desi Collective

The Gilded Desi Collective is a creative community initiative through which Gilded Desi invites selected individuals to participate in jewellery photography, video and other brand-content projects.

The Collective is intended to celebrate individuality, confidence, personal style and the people who bring Gilded Desi jewellery to life.

Participation is by application and selection.

Submitting an application does not guarantee selection or participation.

2. Eligibility

Applicants must:

• be aged 18 or over;
• provide accurate and truthful information in their application;
• be available to attend the relevant photography session at the agreed time and location;
• be legally capable of entering into these arrangements; and
• comply with reasonable instructions relating to the photography session.

We may request reasonable evidence of age or identity where reasonably necessary.

We do not knowingly accept applications from anyone under 18 through the standard Collective application process.

3. Application and Selection

All applications are considered individually.

Gilded Desi may consider factors including the requirements of a particular campaign, availability, location, personal style, suitability and the creative direction of the project.

We do not guarantee that:

• you will be selected;
• you will be contacted following your application;
• you will participate in a particular campaign;
• a particular jewellery piece will be featured;
• photographs or videos featuring you will be published; or
• you will be invited to participate in future Collective projects.

Gilded Desi is not required to provide reasons for non-selection.

Submitting an application does not create an employment relationship, modelling contract, agency relationship or entitlement to future work.

4. What Selected Participants Receive

If you are selected and participate in a Collective photography session, you will receive:

A complimentary Gilded Desi jewellery piece

You will receive one complimentary Gilded Desi jewellery piece as part of your participation. This may not necessarily be the jewellery piece featured in the campaign.
The jewellery piece will be selected entirely by Gilded Desi . Participants cannot select, exchange or substitute the jewellery piece unless Gilded Desi expressly agrees otherwise.

The jewellery piece is provided as a complimentary benefit and is not a cash payment, salary, modelling fee or commission.

No cash alternative will be provided.

A professionally photographed mini photoshoot

You will participate in a professionally photographed mini photoshoot featuring you and Gilded Desi jewellery. 

The exact format, duration, location, styling and creative direction may vary between campaigns.

High-quality photographs to keep

Following the session, Gilded Desi will provide you with high-quality photographs from your session for your personal use.

The number and selection of photographs provided may vary depending on the particular session and the final photographs available.

An opportunity to be part of the Gilded Desi Collective

Participation gives you the opportunity to become part of the Gilded Desi Collective community and contribute to the creative story behind the brand.

This does not guarantee future campaigns, employment, paid modelling opportunities, social-media features or other future work.

5. No Additional Guaranteed Benefits

The benefits listed in Section 4 are the benefits associated with participation.

Gilded Desi may, at its discretion, provide additional content, features, social-media posts, reels, products, opportunities or other benefits from time to time.

Any such additional benefit is discretionary and is not guaranteed as part of Collective participation unless Gilded Desi expressly confirms otherwise in writing.

In particular, publication of an Instagram Reel, individual social-media feature, website feature or other additional content is not guaranteed.

6. Participation Requirements

If selected, you agree to:

• attend the session at the agreed time and location;
• arrive reasonably on time;
• follow reasonable directions from Gilded Desi, the photographer, stylist or other authorised personnel;
• treat staff, photographers, suppliers and other participants respectfully;
• take reasonable care of Gilded Desi jewellery and other property;
• provide reasonable notice if you are unable to attend; and
• notify us in advance of any accessibility requirement or other circumstance that may reasonably affect your participation.

7. Jewellery and Gilded Desi Property

The complimentary jewellery piece provided under Section 4 becomes yours.

Any jewellery provided temporarily for use during the session remains the property of Gilded Desi unless we expressly state otherwise.

You agree to take reasonable care of any Gilded Desi property that remains in our ownership.

If Gilded Desi property is deliberately damaged, misused or lost as a result of your failure to take reasonable care, we reserve the right to seek reasonable compensation for the resulting loss, subject to applicable law.

8. Photography and Video

Photography and/or video recording may take place during your participation.

This may include images or recordings showing your:

• face;
• appearance;
• clothing;
• styling;
• hands, hair or other identifiable features;
• use or wearing of Gilded Desi jewellery; and
• participation in the Collective.

The purpose of creating this content is to showcase Gilded Desi jewellery, the Collective and related brand activities.

9. Image and Video Consent

Participation in the Collective does not by itself constitute consent to every possible use of your image.

As part of the application process, you will be asked to provide a separate, explicit consent regarding the creation and use of photographs and/or video featuring you.

The scope of that consent will be explained in the relevant consent statement in the application form.

Where consent is the applicable legal basis for image or video processing, you may withdraw that consent in accordance with Section 11 and applicable data-protection law.

10. Use of Approved Photographs and Video

Where you have provided the relevant consent, Gilded Desi may use approved photographs and/or video featuring you for Gilded Desi's marketing, promotional and commercial activities.

This may include:

• the Gilded Desi website;
• jewellery product pages;
• Instagram and other social-media channels operated by Gilded Desi;
• email marketing;
• online advertising;
• paid social-media advertising;
• digital marketing campaigns;
• printed promotional materials;
• campaign pages; and
• other promotional communications relating to Gilded Desi.

Gilded Desi may make reasonable technical and creative edits to photographs and video, including cropping, resizing, colour correction and retouching.

We will not knowingly use your image in a defamatory, unlawful or materially misleading manner.

We will not knowingly use your image to suggest that you endorse an unrelated third-party product or service.

11. Withdrawal of Image Consent

Where image or video use is based on your consent, you may withdraw that consent by contacting:

Withdrawal of consent does not affect the lawfulness of processing carried out before the withdrawal.

Following a valid withdrawal, Gilded Desi will assess the request and, where required, stop future processing based on that consent and take reasonable steps to remove relevant content from channels under our control.

Withdrawal cannot guarantee removal of content that has already:

• been printed or physically distributed;
• been incorporated into completed marketing materials;
• been independently reposted by third parties;
• been downloaded or copied by third parties; or
• otherwise moved outside Gilded Desi's reasonable control.

Any statutory rights you have under applicable data-protection law remain unaffected.

12. Your Photographs

The high-quality photographs provided to you are for your personal use.

You may share them on your personal social-media accounts.

You may not sell, license or commercially exploit the photographs, or provide them to another business for advertising or promotional purposes, without Gilded Desi's written permission.

Where appropriate, we ask that you credit or tag Gilded Desi when sharing photographs from your Collective session. You may reshare any social media content posted by Gilded Desi featuring you on your own social media.

13. Copyright

Participation in a photography session does not automatically transfer copyright in photographs or video to the participant.

Under Irish copyright law, the creator of a photograph is generally the initial copyright owner unless ownership has been transferred or otherwise dealt with by agreement.

Gilded Desi will obtain the appropriate rights or licences from photographers, videographers and other content creators separately.

You do not acquire ownership of Gilded Desi's trademarks, logos, jewellery designs, marketing materials or other intellectual property through participation in the Collective.

14. Confidentiality and Unreleased Content

Some Collective sessions may involve unreleased jewellery, collections, campaigns or marketing materials.

Where Gilded Desi tells you that particular information or content is confidential or unreleased, you agree not to publicly disclose, reproduce or share that information before the date specified by Gilded Desi.

This does not restrict any legal right that cannot lawfully be restricted.

15. Personal Data and Privacy

Gilded Desi processes personal data in accordance with applicable data-protection law, including the General Data Protection Regulation (GDPR) and the Data Protection Act 2018, where applicable.

Information processed may include:

• your name;
• email address;
• contact details;
• age or date-of-birth information;
• location;
• application responses;
• photographs;
• video;
• social-media information voluntarily provided by you; and
• information provided about accessibility or participation requirements.

Personal data may be processed for purposes including administering applications, communicating with applicants and participants, organising photography sessions, managing the Collective and creating and publishing approved promotional content.

Depending on the circumstances, you may have rights including access, rectification, erasure, restriction, objection and data portability, as well as the right to withdraw consent where consent is the applicable legal basis.

Nothing in these Terms & Conditions limits a statutory data-protection right.

16. Marketing Communications

Applying to the Collective does not automatically subscribe you to Gilded Desi marketing communications.

Where marketing consent is required, it will be obtained separately.

You can unsubscribe from marketing communications at any time using the unsubscribe mechanism provided or by contacting us.

17. Health, Safety and Accessibility

You should tell us in advance about any reasonable accessibility requirement, allergy or other circumstance that you reasonably believe we need to know about to facilitate your participation safely.

You should not attend a session if you are unwell in a way that could reasonably put yourself or others at risk.

Gilded Desi may postpone or end a session where we reasonably believe that continuing would create a safety risk.

We will take reasonable care in organising sessions and participants should raise any safety concerns with us before or during the session.

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

18. Clothing and Personal Belongings

Unless otherwise agreed, participants are responsible for providing their own oufits and for their personal belongings.

Gilded Desi is not responsible for loss or damage to personal belongings except to the extent that liability cannot lawfully be excluded or arises from our negligence or other legally actionable conduct.

19. Travel and Expenses

Unless expressly agreed otherwise in writing, participants are responsible for their own travel, parking, accommodation, meals and other personal expenses associated with participation.

20. Cancellation and Rescheduling

Gilded Desi may postpone, reschedule or cancel a session where reasonably necessary, including because of:

• illness;
• photographer or supplier availability;
• venue availability;
• weather;
• safety concerns;
• technical issues;
• product availability;
• campaign changes; or
• circumstances outside our reasonable control.

Where reasonably practicable, we will provide notice and may offer an alternative date.

Participants may also withdraw from a scheduled session by contacting us as soon as reasonably possible.

21. No Guarantee of Publication

Participation in a photoshoot does not guarantee publication of any particular photograph or video.

Gilded Desi may decide not to publish particular content, may delay publication or may discontinue a campaign.

We may also remove content from channels under our control for legitimate business, legal, technical, reputational or other reasonable reasons.

22. No Employment or Modelling Relationship

Participation in the Gilded Desi Collective does not constitute:

• employment;
• professional modelling representation;
• an agency relationship;
• a partnership; or
• a promise of future paid work.

Unless expressly agreed otherwise in writing, participants are not entitled to wages, modelling fees, commissions or other remuneration.

The complimentary jewellery piece described in Section 4 is the principal product benefit provided as part of participation.

23. Respectful Conduct

The Collective is intended to be a safe and respectful environment.

Gilded Desi may refuse participation or end a session where a participant engages in behaviour that is abusive, threatening, discriminatory, harassing, unlawful or seriously inappropriate.

We may take reasonable steps to protect our staff, contractors, photographers, other participants, venues and property.

24. Third-Party Suppliers

Gilded Desi may work with photographers, videographers, stylists, venues, platforms and other suppliers in connection with the Collective.

Where appropriate, relevant suppliers may process information or create content on Gilded Desi's behalf.

We will take reasonable steps to use appropriate suppliers and arrangements where required by applicable law.

25. Liability

Nothing in these Terms & Conditions excludes, restricts or limits liability or a legal right that cannot lawfully be excluded, restricted or limited.

Subject to that, Gilded Desi will not be responsible for loss that is not reasonably foreseeable or that results from circumstances outside our reasonable control.

Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

We do not seek to exclude or restrict any mandatory statutory rights available to you.

26. Statutory Rights

Nothing in these Terms & Conditions is intended to remove or restrict any statutory right or remedy available to you under Irish or EU law.

If any provision of these Terms & Conditions conflicts with a mandatory legal right, that legal right will prevail.

This is particularly important because Irish consumer law requires contract terms to be transparent, written in plain language and fair; terms that create an unfair imbalance or attempt to restrict certain legal rights may not be enforceable.

27. Changes to These Terms

We may update these Terms & Conditions where reasonably necessary, including to reflect changes to the Collective, our business practices or applicable law.

The version applicable to your participation will generally be the version made available when you apply or when your participation is confirmed.

We will not use a later amendment to retrospectively remove rights you have already acquired under an agreed arrangement.

28. Severability

If any provision of these Terms & Conditions is found to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

29. Governing Law

These Terms & Conditions are governed by the laws of Ireland.

Nothing in this section prevents you from relying on mandatory consumer protections or exercising a legal right in another jurisdiction where applicable law gives you that right.
